FORM 12b-25 WITH RESPECT TO QUARTERLY REPORT ON FORM 10-Q FOR QUARTER ENDED SEPTEMBER 30, 2002 PART III NARRATIVE As a result of the Company's decision in August 2002 to restate its financial statements for the calendar years ended December 31, 2000 and December 31, 2001, it was also necessary to restate first and second quarter 2002 Form 10-Q's. The restatement of the first and second quarter 2002 Form 10-Q's has delayed the preparation of the third quarter 2002 Form 10-Q. The Company anticipates reporting significant changes in results from the prior period, with net sales of approximately $13,221,000 and a net loss of $521,000, or ($.03) per basic share for the quarter ended September 30, 2002. For the nine months ended September 30, 2002, net sales were approximately $41,259,000 with a net loss of $1,153,000 or ($.06) per basic share.
